The Canadian Securities Administrators (CSA) has published Consultation Paper 91-403 Derivatives - Surveillance and Enforcement. This Consultation Paper provides a framework for surveillance and monitoring of OTC derivatives transactions in Canada by addressing such issues as comprehensive surveillance of OTC derivatives markets including cross-product and cross-market analysis, monitoring participant positions, management of data, operational issues, market conduct and enforcement. It is the second in a series of eight papers that build on the proposals contained in CSA Consultation Paper 91-401 OTC Derivatives Regulation in Canada, published on November 2, 2010.
The CSA invites public comment on Consultation Paper 91-403. Please submit your comments to each addressee specified in the report, in hard copy or electronic form. All responses received within the comment period will be published on the websites of the Autorité des marchés financiers (www.lautorite.qc.ca) and the Ontario Securities Commission (www.osc.gov.on.ca).

CSA Notice and Request for Comment for Proposed Pre-Marketing and Marketing Amendments to Prospectus Rules
The proposed amendments set out changes to the prospectus pre-marketing and marketing regime in Canada for issuers other than mutual funds. These changes will increase the range of permissible pre-marketing and marketing activities in connection with prospectus offerings. The current regulatory regime limits those activities.
The comment period is open until February 23, 2012.

The Canadian Securities Administrators (the CSA) has published for a 60-day comment period a revised version of proposed amendments to National Instrument 41-101 General Prospectus Requirements, Form 41-101F2 Information Required in an Investment Fund Prospectus, and proposed Form 41-101F3 Information Required in a Scholarship Plan Prospectus. The aim is to improve the prospectus disclosure provided by scholarship plans by introducing a prospectus form tailored to reflect the unique features of scholarship plans. This is an important investor-focused initiative.

CSA Staff Consultation Note 45-401 Review of Minimum Amount and Accredited Investor Exemptions Public Consultation
The Canadian Securities Administrators (CSA) are conducting a review of the minimum amount and accredited investor prospectus exemptions contained in National Instrument 45-106 Prospectus and Registration Exemptions. At the conclusion of the review, CSA staff may recommend either retaining the exemptions in their current form or may propose changes.
As part of the review, the CSA is consulting with stakeholders including investors, issuers, dealers and legal and other advisors. The attached consultation note (the Note) provides more information on the scope of the review, including some background on the history of these exemptions and specific consultation questions for consideration.
To this end, the CSA is inviting you to review the attached Note and provide us with your written comments.
